Kontera updates TOS, publishers beware

The new TOS is found here, and, well, at least to me, points some pretty horrific problems out.
Problem #1: Exclusivity

Quote:

On all publisher Websites, Publisher will ensure that Kontera is the exclusive source of any advertising and/or external service linked to, and delivered through keyword links within the text of Publisher’s Website pages, for the term of this Agreement

WTF? This comes dangerously close to saying "you will publish nobody else’s ads". Even if they are referring to text links, they can not compete with professional services here such as Amazon, or others who have been delivering text based relevance for longer.
Problem #2: We won’t pay you!

Quote:

Kontera shall pay Publisher the Revenue Share on the first day of the second month after the month in which such Revenue Share was generated. For example, Kontera will pay the Publisher the Revenue Share for April (if any) on June 1.
